Digitisation of crossborder Conversions: A new tool for venture capital)

Abstract:

This study analyzes the regulatory content of the intra-European cross-border conversion procedure, as an additional element to the usual venture capital operations.

To this end, firstly, we analyze the elements that the Spanish legislator has had to regulate according to the rules contained in EU Directive 2019/2121. In a second section, our study concentrates in the regulatory content of the new Spanish European conversions procedure according to RDL 5/2023.
