Analysis of the modifications introduced in the Legal Regime of Venture capital SME by Law 18/2022 of 28 September on the creation and growth of companies

Abstract:

Law 18/2022 of 28 September, on the creation and growth of companies, modifies, and affects, among others, the Venture Capital and Collective Investment Institutions sector.
In this article we are going to comment on the amendments that affect Venture Capital SMEs and which refer to the extension of the range of investable companies
by increasing the number of employees that the target may have; the introduction of the concept of “investable assets” vs “computable assets”, the relaxation of the regime for setting up Venture Capital SMEs and the incorporation into our legislation of references to ELTIFs.
